Scope:

• When you use or download our Online Platform, you are agreeing to our Terms of Use, Privacy Policy, and Copyright Policy. This applies whether you are a guest or a registered user. If you don't agree to these policies, then you cannot access or use our Online Platform. We may change these Terms of Use at any time, and it is your responsibility to keep up to date with them.
• Please note that our Online Platform is different from our products and services. If you become a customer, you will need to sign a separate agreement that governs your relationship with us. These Terms of Use are a legal document, so it is important that you understand them.
• In these Terms of Use, "you" and "your" refer to the person or organization using our Online Platform. "SatKarma", "we", "us", and "our" refer to SatKarma Inc. and its affiliates and licensors. We capitalize certain words in these Terms of Use because they have a specific meaning, which you can find where they are first used in bold text.

RIGHTS AND CONDITIONS:

• You are allowed to access and view the text, images, graphics, logos, audio, video, and other information, and materials available on the Online Platform (the "Content") on your computer or other Internet-compatible device, but only for personal and non-commercial purposes. You can also print out and make copies of the Content for personal, non-commercial use. However, you cannot use the Online Platform or any Content for commercial purposes unless you have received our express written permission in advance. If you use the Online Platform or any Content other than as permitted, it will be considered a breach of these Terms of Use. You need to comply with these Terms of Use to avoid any loss or damage arising from a violation.

UNITED STATES (GOVERNING LAW):

• We operate the Online Platform from within the United States of America (USA). The Online Platform is intended for visitors who are 18 years of age and over and are in the USA. We do not block or monitor visitors from other countries, but we do not guarantee that the content is appropriate or lawful for use in locations outside the USA. We cannot guarantee that we will comply with all local laws outside of the USA when processing and handling user submissions. If you choose to access the Online Platform from outside the USA or submit materials as a non-USA citizen, you do so at your own risk and are responsible for complying with all applicable laws and treaties. These Terms of Use are governed by and construed by the laws of the State of California and the federal laws of the USA.

CONTENT:

• The content available on our platform may originate from various sources including information generated by us and third parties. However, we cannot guarantee that the content is or will be accurate, complete, current, error-free, or free from disruptions, viruses, or other harmful components.
• Although you have the right to use the content as outlined in Section “RIGHTS AND CONDITIONS”, we will not be liable for any loss or damage resulting from your reliance on the content. The content may include ratings of agencies, but please note that these ratings do not necessarily reflect the quality of the agency or the suitability of their services for your specific needs. Therefore, it is your responsibility to evaluate the accuracy, completeness, and usefulness of any information, opinion, advice, or other elements of the content.
• Our platform may contain links to third-party websites and resources, including those in advertisements such as banner ads and sponsored links. However, we have no control over the content of these sites or resources and are not responsible for any loss or damage arising from your use of them. If you choose to access any of these third-party websites, you do so at your own risk and subject to their respective terms and conditions of use.

ACCOUNT REGISTRATION:

• To access certain features of the Online Platform, you need to register and create an account (which we call an "Account"). When you create an Account, you agree to provide complete, accurate, and current information about yourself during the registration process. You also agree to keep this information updated. If you provide any inaccurate or incomplete information, we reserve the right to suspend or terminate your Account and use of the Online Platform.
• During the registration process, you'll be issued a unique user identification (which we call a "User Name") and password (which we call a "Password"). It is important that you keep this information confidential and don't share it with anyone else. You are responsible for any activity that occurs under your User Name and Password. If you become aware of any unauthorized use of your User Name or Password or any other breach of security related to the Online Platform, you should notify us immediately. You should also log out of your Account at the end of each session.
• Please note that your User Name and Password for the Online Platform are not the same as any credentials we issue to you to access our products and services offerings. If you want to cancel your Account, it is your responsibility to let us know.

TRADEMARKS AND OTHER INTELLECTUAL PROPERTY RIGHTS:

• The logos, names, and other similar marks (collectively called "Trademarks”) displayed on the Online Platform are our and our licensors' registered and unregistered trademarks. You are not authorized to use them unless permitted by the trademark owner. Suppose you are allowed to make print-outs and copies under Section “Rights and Conditions”. In that case, those copies may contain trademarks, and you may use them incidentally for non-commercial purposes to the same extent as the print-outs and copies. However, except for such incidental use, nothing on the Online Platform or in these Terms of Use should be interpreted as granting you any license or right to use any trademark displayed. You must not, in any other way, reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Online Platform. We are the exclusive owners of all rights, titles, and interests, including intellectual property rights (such as copyrights, patents, and trademarks), proprietary rights (such as trade secrets and database rights), and moral rights (such as rights of attribution and authorship) worldwide over the Online Platform, its Content, its look and feel, design and organization, and compilation, as well as all Trademarks. If you print, copy, modify, download, or otherwise use or provide any other person with access to the Online Platform. In that case, you acknowledge and agree that you have read and understood these terms and conditions, and you agree to comply with them.

SOCIAL MEDIA:

• This section is applicable to all who engage with our social media presence. If you have landed on this page, it is because you have either followed the social media features on our online platform ("Internal Social Media Features") or from comment sections, feeds, and other social media elements available on platforms such as Facebook, Twitter, YouTube, Google+, LinkedIn, or any other external third-party platform we may use ("External Social Media Presence").
• Please note that social media platforms are public places for exchanging information, so you should not expect any privacy while using them. Our Privacy Policy does not apply to our External Social Media Presence. The sites and platforms that host our External Social Media Presence are not under our control, and therefore their privacy policies and terms of use will apply instead of ours.
• The opinions and comments expressed by users on social media are their own and do not necessarily reflect the opinions of SatKarma. Comments that may be considered inappropriate or offensive may appear on our Internal Social Media Features and External Social Media Presence, and they may remain there until we identify them or are made aware of them. We will then work through the necessary procedures and technical processes to have them removed.
• If you come across an offensive or inappropriate post or comment on our External Social Media Presence, you should report it to the operator of the relevant site or platform using the procedures they have established for that purpose. If you see such a post on Internal Social Media Features, please report it directly to us via the contact information provided.

SUBMITTED MATERIALS & USER GENERATED CONTENT:

• Please keep in mind the following information: If you submit any information, ideas, suggestions, concepts, or other materials to the Online Platform voluntarily or at our request, such as questions sent to us via the "Contact Us" link or user-generated content on our Internal Social Media Features or External Social Media Presence or any other interactive features of the Online Platform, it is referred to as " SUBMITTED MATERIALS" We may use these materials in any lawful manner, except for personal information, which will only be used as described in our Privacy Policy.
• By providing Submitted Materials, you:
  • confirm that you own or have all necessary rights to do so, and that the Submitted Materials comply with applicable laws;
  • agree that all Submitted Materials comply with these Terms of Use, the Copyright Policy, and the Content Standards set out in Section 11; and
  • grant us, our affiliates, service providers, and each of their respective licensees, successors, and assigns a royalty-free, worldwide, perpetual, irrevocable, non-exclusive, fully transferable, assignable, and sublicensable right and license to copy, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, make, sell, export, and otherwise use such material (in whole or part) and/or to incorporate it in other works in any form, media or technology now known or later developed, for any purpose.
• You understand and acknowledge that you are solely responsible for any Submitted Materials, and that you, not SatKarma, are fully responsible for such content, including its legality, reliability, accuracy, and appropriateness.

OTHER POLICIES AND TERMS:

• We may collect certain personal information about you as part of the Submitted Materials you provide to us. This information is subject to our Privacy Policy, which is incorporated into these Terms of Use. Please note that sales of our products and services are governed by separate terms and conditions of sale and related contract documents, not these Terms of Use. If you believe there has been a copyright infringement, please refer to our Copyright Policy. We do not accept purchase orders or similar documents as Submitted Materials to circumvent our separate product and/or services sales contracts. Any such attempt will be rejected and will have no effect.

PROHIBITED USER CONDUCT:

• You are strictly prohibited from engaging in any of the following activities on the Online Platform or using any part of the Online Platform for any of the following purposes:
  • Reverse engineering, creating derivative works or improvements, or making machine code human-readable.
  • Copying any content from the Online Platform.
  • Commercially exploiting or providing access to third parties (via sublicense, sale, or any other means).
  • Introducing, transmitting, or storing malicious code that can harm the security or operation of the Online Platform.
  • Interfering with the security or operation of the Online Platform.
  • Framing or mirroring any part of the Online Platform outside of your employer's intranets.
  • Creating, benchmarking, or gathering intelligence for a competitive offering.
  • Removing, modifying, or obscuring proprietary rights notices.
  • Defaming or harassing any user of the Online Platform.
  • Infringing another's intellectual property rights, including uploading, transferring, or displaying works of authorship without obtaining prior permission.
  • Intercepting or expropriating data from the Online Platform.
  • Spamming, spoofing, or otherwise misrepresenting transmission sources.
  • Engaging in any activity that restricts or inhibits anyone's use or enjoyment of the Online Platform, or that may harm SatKarma or other users of the Online Platform, or expose them to liability.
  • Violating any applicable federal, state, local, or international law or regulation, including any laws regarding the export of data or software to and from the US or other countries.
  • Furthermore, by using the Online Platform, you agree not to engage in any activities that could disable, overburden, damage, or impair any part of the Online Platform or interfere with any other party's use of the Online Platform, including their ability to engage in real-time activities on the Online Platform.
  • You must not use any robot, spider, or other automatic device, process, or means to access the Online Platform for any purpose, including monitoring or copying any of the material on the Online Platform.
  • You must not use any manual process to monitor or copy any of the material on the Online Platform, or for any other purpose not expressly authorized in these Terms of Use, without our prior written consent.
  • You must not use any device, software, or routine that interferes with the proper working of the Online Platform.
  • You must not introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  Please note that any violation of these terms may result in immediate termination of your access to the Online Platform, and may also lead to legal action or other remedies as deemed necessary.

CONTENT STANDARDS:

• The following content standards apply to all materials submitted and the use of interactive features on the online platform. All submitted materials must comply with applicable federal, state, local, and international laws and regulations. Submitted materials must not contain any defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable content. They must not promote sexually explicit or pornographic material, violence or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age. Submitted materials must not infringe on any intellectual property or other rights of others or violate the legal rights of any person, including the right to privacy or publicity. They must not promote illegal activities or advocate for unlawful acts. The materials must not cause annoyance, inconvenience, or needless anxiety, or upset, embarrass, alarm, or annoy any other person. They must not impersonate any person or misrepresent your identity or affiliation with any person or organization. Submitted materials must not involve commercial activities or sales such as contests, sweepstakes, and other sales promotions, barter, or advertising. They must not give the impression that they are endorsed by us or any other person or entity if this is not the case.

MONITORING AND ENFORCEMENT:

• Please note the following:
  • We reserve the right to reject or remove any Submitted Materials for any reason, at our sole discretion.
  • We may take any action we deem necessary or appropriate with respect to any Submitted Materials, including if we believe that such materials violate the Terms of Use, infringe any intellectual property right or other right of any person or entity, threaten the safety of users of the Online Platform or the public, or could create liability for us.
  • We may disclose your identity or other information about you to any third party who claims that materials posted by you violate their rights, including their intellectual property rights or their right to privacy.
  • We may take legal action, including referral to law enforcement, for any illegal or unauthorized use of the Online Platform.
  • We may terminate or suspend your access to all or part of the Online Platform for any reason, including without limitation, any violation of these Terms of Use.
• We reserve the right to fully cooperate with any law enforcement authorities or court order that requests or directs us to disclose the identity or any other information of anyone who posts any materials on or through the Online Platform. By using the Online Platform, you agree to waive and hold harmless Satkarma and its affiliates, licensees, and service providers from any claims resulting from actions taken by any of the aforementioned parties either during or as a consequence of investigations by either such parties or law enforcement authorities.
• We are unable to review all content before it is posted on the Online Platform, and therefore we cannot guarantee the prompt removal of any objectionable material after it has been posted. As a result, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. Moreover, we are not liable or responsible to anyone for the performance or nonperformance of the activities described in this section.

THIRD PARTY WEB SITES:

• Our Online Platform may contain links or hyperlinks to other websites maintained by third parties. We may also provide third party content on the Online Platform through framing or other methods. These links are provided for your convenience and information only. Please note that the presence of a link does not imply endorsement, authorization, or sponsorship of the website or offering, nor does it indicate any affiliation with the third-party owners or sponsors.
• Except for links to our brands, products, and services within the Online Platform, we have no control over the websites or parties to which the links will take you, and we are not responsible for their availability, content, advertising, products, or materials, including any further links on their sites. Therefore, once you click on an external link, you are no longer subject to our Privacy Policy. We advise you to carefully review the privacy statements and other conditions of use and sale related to any links.

Additionally, you are not allowed to use any Trademarks or other words or codes that identify SatKarma or its products in any "metatag" or other information used by search engines or other information location tools unless we grant express permission in writing.

• Please read and understand the following statement before using the online platform: The online platform, including its content, features, functions, and services, are provided on an "as is" and "as available" basis. The SatKarma parties, including SatKarma, its affiliates, officers, directors, employees, agents, members, managers, shareholders, and representatives, disclaim all warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. If you are not satisfied with the online platform, its content, features, functions, or services, your sole remedy is to stop using it. The SatKarma parties shall not be held liable for any direct, indirect, consequential, punitive, special, or incidental damages, including claims of defamation, errors, loss of data, or interruption in availability of data, or other intangible losses arising out of or relating to your use of, or the inability to use, the online platform, its content, features, functions, or services that you access through the online platform. These limitations apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence), or otherwise, and whether or not the SatKarma parties have been informed of the possibility of such damages. By using the online platform, you agree to defend, indemnify, and hold the SatKarma parties harmless from any and all claims, liabilities, costs, and expenses, including attorney's fees, arising in any way from your use of the online platform, or your breach or violation of applicable laws or these terms of use. SatKarma reserves the right to modify or discontinue, temporarily or permanently, the online platform or any of its features or functions, with or without notice.

TERM AND TERMINATION:

• These Terms of Use are applicable to all users of the Online Platform, and they remain valid until we replace them as described here. We reserve the right to terminate, change, suspend, add to, or discontinue any aspect of the Online Platform, including your Account, without prior notice or liability to you.

MISCELLANEOUS:

• These Terms of Use, Privacy Policy, and Copyright Policy constitute the entire agreement between you and us, governing your use of the Online Platform. No actions or trade practices between us will modify these terms. We reserve the right to assign our rights and obligations under these terms to any party, without prior notice to you.
• You agree that any claims or causes of action arising out of or related to the use of the Online Platform, the Terms of Use, Privacy Policy, or Copyright Policy must be filed within one year of such claim or cause of action arising, or it will be barred.
• If any provision of these terms is found to be unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in full force and effect. • SatKarma cannot waive any term or condition mentioned in these Terms of Use. Waiving one term or condition does not mean that SatKarma is waiving any other term or condition. If SatKarma does not assert a right or provision mentioned in these Terms of Use, it does not mean that SatKarma is waiving its right to assert that right or provision in the future. If a court or other tribunal declares any provision of these Terms of Use to be invalid, illegal, or unenforceable, that provision will be removed or restricted to the minimum extent necessary, and the rest of the Terms of Use will remain in full force and effect.

ENTIRE AGREEMENT:

• These Terms of Use, along with our Privacy Policy, our Copyright Policy, and any other relevant agreement that you may have entered into with us regarding our services, constitute the only and complete agreement between you and SatKarma with respect to the Online Platform. They replace and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Online Platform.

CHANGES:

• We kindly request you to visit this page regularly to stay updated with any revisions. Although we will try to post a notice of any changes made to the Online Platform, it is your responsibility to check for revisions.
